1. Sponsor and Overview

The Adobe Rock Backyard Makeover Giveaway (the "Promotion") is sponsored and administered by Adobe Rock, Inc., a Utah corporation ("Sponsor").

The Promotion invites eligible residents to submit a short video describing their current outdoor space and what they would like it to become. Sponsor will evaluate all eligible entries, select three finalists, conduct a non-binding public vote among those finalists, and select one Winner to receive a professionally installed backyard makeover as described in Section 12.

THIS IS A CONTEST OF SKILL AND MERIT, NOT A GAME OF CHANCE. No purchase is necessary to enter or win, and a purchase will not improve any entrant's chance of winning. Void where prohibited. By entering, each entrant accepts and agrees to be bound by these Official Rules and by Sponsor's decisions, which are final and binding in all matters relating to the Promotion.

2. Eligibility

To be eligible to win, an entrant must, at the time of entry and continuously through the completion of the makeover:

       Be a legal resident of the United States and at least eighteen (18) years of age;

       Maintain and occupy a primary residence located in Tooele County, Salt Lake County, Davis County, or Utah County, Utah;

       Own the residence identified in the entry, individually or with one or more co-owners; and

       Have the legal right, together with all other record owners of the property, to permit access to and modification of the outdoor space identified in the entry.

The following persons are not eligible to enter or win: employees, officers, directors, and agents of Sponsor and its affiliated entities, including Adobe Rock Products, Salt Flat Trading Co., Heritage Homes, and Adobe Brothers Construction; contractor partners participating in the makeover and their employees; vendors and suppliers donating materials or services to the Promotion and their employees; and the immediate family members of, and persons residing in the same household as, any of the foregoing. For this purpose, "immediate family member" means a spouse, parent, child, or sibling, whether by birth, marriage, or adoption.

Multi-unit residential properties, commercial properties, and properties held primarily for investment or short-term rental are not eligible. Limit one entry per residential property. Limit one entry per household. Employees of homeowners associations may enter in their personal capacity where otherwise eligible.

3. Entry Period

The Promotion begins at 12:00:01 a.m. Mountain Time on October 3, 2026 and ends at 11:59:59 p.m. Mountain Time on February 28, 2027 (the "Entry Period"). Entries submitted before or after the Entry Period will not be considered. Sponsor's computer is the official timekeeping device for the Promotion.

4. How to Enter

To enter, an entrant must complete the official entry form and submit a video during the Entry Period.

The entry form requires the entrant's full name, email address, telephone number, street address, and ZIP code, together with the acknowledgments and consents described in these Official Rules. An email address and ZIP code are required for every entry.

Video requirements. The video must:

       Be between one (1) and five (5) minutes in length;

       Show the outdoor space that is the subject of the entry;

       Describe what the entrant would like the space to become; and

       Include some information about the entrant or the person nominated.

Video may be submitted either by uploading a file through the entry form or by providing a link to a video hosted on a third-party service, provided the link remains accessible to Sponsor through October 31, 2027 and does not require a password or account to view. Sponsor is not responsible for entries that are lost, late, incomplete, misdirected, corrupted, inaccessible, or that fail to upload for any reason.

Because entries submitted during the Entry Period may show the outdoor space in dormant or winter condition, entrants are encouraged but not required to submit additional photographs of the space taken during a growing season. Such photographs will be considered as part of the entry.

Entries must be the original work of the entrant and must not infringe the rights of any third party, contain material that is unlawful, defamatory, obscene, or otherwise objectionable, or depict any identifiable person who has not consented to appear. Sponsor may disqualify any entry that in its sole discretion fails to meet these requirements, and may do so at any stage of the Promotion.

5. Automated Entry, Tampering, and Disqualification

Entries generated by script, macro, bot, or other automated means are void. Any attempt to obtain more than the stated number of entries by using multiple email addresses, identities, or addresses, or any attempt to tamper with the entry process or the operation of the Promotion, will void all of that person's entries and may result in disqualification. Sponsor reserves the right to disqualify any entrant it believes has violated these Official Rules or acted in a manner that is disruptive or unfair to other entrants.

6. Nominating Another Person

An entrant may nominate another eligible person rather than themselves. A nominating entrant must be a legal resident of the United States and at least eighteen (18) years of age, but need not reside in one of the eligible Utah counties. The nominated property must independently satisfy all eligibility requirements applicable to a Winner.

Where an entry nominates another person:

       The nominating entrant must identify the nominee and provide the nominee's name, email address, and telephone number;

       The nominating entrant represents that the nominee is aware of and consents to the nomination;

       Sponsor will contact the nominee directly to confirm consent, and no nominated entry will advance to finalist consideration without the nominee's written confirmation; and

       If the nominated entry is selected, the nominee — not the nominating entrant — is the Winner and the recipient of the prize, and all Winner obligations under these Official Rules apply to the nominee.

A nominating entrant receives no prize, consideration, or preference by virtue of submitting a nomination. Sponsor may, in its discretion, decline to consider any nomination where consent cannot be verified.

7. Grant of Rights; Media Release and Content License

By entering, each entrant (and, in the case of a nomination, each nominee upon confirming consent) grants to Sponsor and its affiliated entities, successors, assigns, and licensees a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, fully sublicensable and transferable right and license to use, reproduce, edit, modify, adapt, publish, distribute, publicly display, publicly perform, create derivative works from, and otherwise exploit, in whole or in part, in any and all media now known or later developed:

       The video, photographs, and any other materials submitted as part of the entry;

       The entrant's name, city of residence, likeness, voice, image, statements, and biographical information as submitted;

       Photographs, video, and other recordings of the outdoor space that is the subject of the entry, before, during, and after any installation work; and

       Photographs, video, and other recordings of the entrant made in connection with the Promotion.

This license is granted for any purpose, including advertising, marketing, promotion, and trade, without further notice, review, approval, compensation, or attribution, and without any obligation on Sponsor's part to use any material. Each entrant waives any right to inspect or approve any use of the foregoing and waives any claim based on defamation, invasion of privacy, right of publicity, or moral rights arising from such use.

Each entrant represents and warrants that they have obtained the consent of every identifiable person appearing in or heard in the submitted materials, and that they have the authority to grant the license set out in this Section on behalf of all such persons and with respect to the property depicted. Sponsor may require written releases from any such person, and may disqualify an entry if they are not provided.

If any identifiable person appearing in or heard in submitted or promotional materials is under eighteen (18) years of age, Sponsor may require a written release signed by that person’s parent or legal guardian before using the material.

Sponsor may publish some, all, or none of the entries received. Publication of an entry does not indicate that the entry has advanced or will advance in the Promotion.

The license granted in this Section takes effect upon entry and is not conditioned upon the issuance of any credit under Section 12. Any credit issued under Section 12 is a promotional courtesy extended by Sponsor and is not consideration for, or a condition of, the license granted in this Section.

8. Judging and Selection of Finalists

All eligible entries will be evaluated by a panel designated by Sponsor. Evaluation is holistic and considers the following criteria:

       Need — the entrant's circumstances and the degree to which the makeover would be meaningful and otherwise out of reach;

       Story and presentation — the clarity, sincerity, and quality of the submitted video;

       Fit — the degree to which what the entrant would like matches the products and services Sponsor offers;

       Scope — the size and condition of the outdoor space and its potential for meaningful transformation within the scope described in Section 12; and

       Location and logistics — the practical feasibility of performing and documenting the installation at the property.

Sponsor does not publish the relative weighting of these criteria and is not obligated to do so. Evaluation is subjective and the determination of the panel is final and binding. Sponsor may seek additional information from any entrant during evaluation, and failure to respond within the time Sponsor specifies may result in disqualification.

On or about early April 2027, Sponsor will identify three (3) finalists. Sponsor reserves the right to identify fewer than three finalists, or to extend the Entry Period, if in its sole judgment the entries received do not support the selection of three suitable finalists.

9. Finalist Requirements

Before being publicly announced as a finalist, each prospective finalist must satisfy the following conditions to Sponsor's satisfaction and within the time Sponsor specifies:

       Permit Sponsor and its representatives to conduct an on-site inspection of the property, including assessment of access, grade, drainage, existing conditions, and utility locations;

       Provide documentation of ownership of the property and written consent from every record owner permitting the installation and granting Sponsor the access and media rights described in these Official Rules;

       Provide written evidence of any required approval from a homeowners association, architectural review committee, or similar body having authority over the property;

       Confirm that the property is covered by homeowner's insurance and provide evidence of such coverage;

       Execute Sponsor's finalist agreement, affidavit of eligibility, liability release, publicity release, and written acknowledgment of the tax matters described in Section 13; and

       Provide any additional documentation Sponsor reasonably requests.

A prospective finalist who does not satisfy these conditions, who is unreachable after reasonable attempts, or whose property Sponsor determines in its sole discretion to be unsuitable, will be disqualified, and Sponsor may select an alternate from among the remaining eligible entries.

10. Public Vote (Advisory Only)

Following the announcement of finalists, Sponsor will conduct a public vote for a period of approximately ten (10) days.

THE PUBLIC VOTE IS ADVISORY ONLY AND IS NOT BINDING ON SPONSOR. The vote is one input among the criteria described in Section 8. Sponsor retains sole and absolute discretion to select as Winner any finalist, including a finalist who does not receive the greatest number of votes. No finalist acquires any right, expectation, or entitlement to the prize by virtue of the outcome of the public vote.

For clarity, the public vote does not determine the Winner. Any advertising or promotional reference to voting is subject to this Section and should be understood as an opportunity for the public to express a preference among the finalists, not to make the final selection.

Voting is limited to one vote per person. Sponsor may require an email address or other identifying information to validate a vote. Votes generated by script, macro, bot, or other automated means, and votes Sponsor determines to be duplicative, fraudulent, or obtained through inducement or payment, will be disregarded. Sponsor may suspend, extend, restart, or cancel the public vote, or disregard its result entirely, if Sponsor determines that the integrity of the vote has been compromised.

Finalists may encourage others to vote but may not offer any consideration in exchange for votes, misrepresent the Promotion, or disparage other finalists or Sponsor. Violation is grounds for disqualification.

11. Winner Selection and Notification

Sponsor expects to announce the Winner on or about May 1, 2027. Sponsor will notify the Winner by telephone and email using the contact information provided at entry. If the Winner cannot be reached within five (5) business days of the first notification attempt, declines the prize, or fails to satisfy any condition of these Official Rules, the prize may be forfeited and Sponsor may select an alternate Winner.

Odds of winning depend on the number and quality of eligible entries received and on the judging criteria described in Section 8.

12. Prize

One (1) grand prize will be awarded, consisting of:

       A professionally installed outdoor living and landscape makeover at the Winner's eligible residence, having a total fair market value, inclusive of materials, products, design services, and professional installation labor, of not less than Twenty-Five Thousand Dollars ($25,000) and not more than Fifty Thousand Dollars ($50,000); and

       Two Thousand Five Hundred Dollars ($2,500) in cash, payable on or before December 31, 2027, intended to provide partial assistance toward potential tax liability associated with the prize. The cash payment is itself part of the taxable prize and is not intended or guaranteed to cover all taxes.

In addition, each of the two (2) finalists not selected as Winner will receive a credit of One Thousand Five Hundred Dollars ($1,500) toward materials supplied by Sponsor, redeemable within twelve (12) months of issuance and not redeemable for cash.

In addition, each entrant whose submitted video is used by Sponsor for marketing purposes will receive a credit of One Hundred Dollars ($100) toward materials supplied by Sponsor, redeemable within twelve (12) months of issuance and not redeemable for cash. For purposes of this paragraph, a video is used for marketing purposes when Sponsor publishes the video, or a substantial portion of it, on a channel Sponsor owns or controls. Whether a video has been so used is determined by Sponsor in its sole discretion. One credit will be issued per entry regardless of the number of times, places, or formats in which a video is used.

Scope of the makeover. There is no predetermined product list. Following selection, Sponsor will consult with the Winner to design a makeover reflecting the Winner's preferences from among the products and services Sponsor offers. The final scope is subject to Sponsor's written approval and to the value ceiling stated above.

The following are included within the scope of the makeover: hardscape, including pavers, wall block, and flagstone; water features; fire features; decorative rock, mulch, and soil products; plant material and garden products; outdoor furniture; yard structures; stone veneer; landscape lighting; and design consultation.

The following are expressly excluded and will not be provided: swimming pools and spas; structures requiring a building permit; replacement of irrigation systems; grading, excavation, or demolition beyond that reasonably required to install the specified features, as determined by Sponsor; removal or disposal of existing concrete, structures, or debris beyond that reasonably required to install the specified features, as determined by Sponsor; retaining walls requiring engineering design, generally those exceeding four (4) feet in height; electrical or gas work beyond that required for the specified features; ongoing maintenance; and any work Sponsor determines to be impractical, unsafe, or outside its ordinary business.

Limited-scope items. The following may be included at Sponsor's discretion, in a limited scope agreed during the design consultation, provided they do not constitute a primary component of the makeover: fencing; tree and stump removal; and turf or lawn areas. Sponsor will discuss the cost, value, and feasibility of any such item with the Winner during the design consultation described in Section 14, and may decline any such item or limit its scope.

Unforeseen conditions. If concealed, unknown, or materially different site conditions are discovered before or during installation, including buried concrete or debris, undocumented utilities or irrigation, unsuitable soils, drainage conditions, easements, septic components, boundary issues, hazardous conditions, or similar conditions, Sponsor may modify, substitute, eliminate, or reduce particular features as reasonably necessary to keep the work safe, lawful, feasible, and within the approved prize scope and value ceiling.

Except as required by law, products are provided subject to applicable manufacturer warranties, and installation workmanship will be subject to any written workmanship warranty provided by the installing contractor. The prize is non-transferable and may not be assigned. No substitution or cash equivalent is available for the makeover portion of the prize. Sponsor reserves the right to substitute a prize component of equal or greater value if a described component becomes unavailable. Any portion of the approved prize scope not used is forfeited. The Winner will not be required to purchase additional products or services as a condition of receiving the prize. Any optional upgrades or work requested by the Winner beyond the approved prize scope must be covered by a separate written agreement and will be the Winner's responsibility.

Permits and inspections. Sponsor or the applicable licensed contractor will obtain and pay for permits and required governmental inspections that are necessary solely for work included in the approved makeover scope. Those costs will be included in the fair market value of the prize. The Winner remains responsible for approvals or costs arising from work outside the approved prize scope or from conditions attributable to the property that Sponsor has expressly excluded.

Licensed work. Installation work requiring a contractor license will be performed by Adobe Brothers Construction or by licensed contractor partners engaged for the Promotion. Sponsor arranges for, but does not itself perform, such work.

13. Taxes and Effect on Benefits

ALL FEDERAL, STATE, AND LOCAL TAXES ON THE PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. The prize constitutes taxable income to the Winner. Sponsor will determine and report the actual fair market value of prize components delivered, including professional installation labor and the cash portion, in the applicable tax year or years and on the applicable information return(s), as required by then-current law. Sponsor will require the Winner to furnish a completed Form W-9 before the prize is awarded. Finalists receiving materials credits may likewise receive an applicable information return where required by then-current law.

Taxability is determined under applicable law and is not eliminated merely because Sponsor is not required to issue an information return for a particular prize or credit.

The advertised value of the prize is a maximum. The amount reported will be the actual fair market value of what is delivered, which may be substantially less than Fifty Thousand Dollars ($50,000). Sponsor will discuss the anticipated fair market value with the Winner during the design consultation described in Section 14, before the scope is finalized, so that the Winner may take the tax consequences into account in selecting scope.

IMPORTANT: RECEIPT OF THE PRIZE MAY AFFECT ELIGIBILITY FOR INCOME-BASED PROGRAMS, CREDITS, AND SUBSIDIES. These may include, without limitation, premium tax credits for health coverage purchased through a health insurance marketplace, Medicaid and the Children's Health Insurance Program, the earned income tax credit, nutrition assistance, and housing assistance. Sponsor does not provide tax, legal, or financial advice, and nothing in these Official Rules constitutes such advice. Each finalist is strongly encouraged to consult a qualified tax advisor before accepting the prize.

Each finalist will be required to acknowledge this Section in writing before being publicly announced as a finalist.

14. Design Consultation, Installation, and Winner Obligations

Design consultation. Following announcement, Sponsor and the Winner will work together during approximately May and June 2027 to determine the scope of the makeover. Sponsor will present the anticipated fair market value of the proposed scope before the scope is finalized. The Winner may request a scope of lesser value than the ceiling. Final scope requires Sponsor's written approval.

Installation. Installation is expected to occur during August and September 2027 and to take approximately three (3) weeks, subject to weather, material availability, contractor availability, permitting, and other conditions. Sponsor will schedule the work and may sequence, pause, or reschedule it as necessary. Sponsor does not guarantee a completion date.

Before installation begins, the Winner must ensure that every record owner of the property has executed any property-access, installation, liability, and media authorization reasonably required by Sponsor.

The Winner agrees to:

       Provide Sponsor, its employees, contractors, and media personnel with reasonable access to the property during the design, installation, and documentation periods;

       Cooperate in the photography and video recording of the property and of the Winner before, during, and after installation, and participate in a reasonable number of interviews and promotional appearances;

       Refrain from directing, interfering with, or independently modifying the installation work;

       Remove or relocate personal property from the work area as reasonably requested;

       Secure pets and keep the work area clear during working hours; and

       Obtain and maintain any approval required by a homeowners association or similar body.

Failure to satisfy these obligations may result in suspension of the work or forfeiture of any unused portion of the prize.

15. Changes in Circumstance; Modification; Cancellation

The prize is awarded with respect to a specific property. If, at any time before installation is complete, the Winner ceases to reside at or hold the necessary rights in that property, the property becomes unsuitable, a required approval is withdrawn, or the Winner's circumstances otherwise change such that the makeover cannot be performed as contemplated, Sponsor may in its sole discretion reduce the scope of the prize, defer the work, substitute a prize of comparable value, transfer the award to an alternate, or terminate the award without further obligation. The prize may not be moved to a different property without Sponsor's written consent.

Sponsor reserves the right to modify, suspend, extend, or terminate the Promotion, in whole or in part, where fraud, technical failure, insufficient or unsuitable entries, a change in law, a cause beyond Sponsor’s reasonable control, or another circumstance materially impairs the integrity, feasibility, legality, or proper conduct of the Promotion. Sponsor may make non-material amendments to these Official Rules, or amendments reasonably necessary to comply with law, address circumstances beyond Sponsor’s reasonable control, or preserve the integrity of the Promotion, by posting the amended rules at the location where these Official Rules are published. Continued participation after amendment constitutes acceptance. No amendment will retroactively deprive an entrant of a material right already earned under the rules then in effect, except to the extent reasonably necessary to comply with law or address circumstances beyond Sponsor’s reasonable control.

Neither Sponsor nor any contractor partner or vendor is liable for delay or failure to perform arising from weather, fire, flood, labor shortage, material shortage, supply chain disruption, epidemic, act of government, or other cause beyond its reasonable control.

16. Release and Limitation of Liability

By entering, each entrant releases and agrees to hold harmless Sponsor, its affiliated entities, and their respective officers, directors, employees, agents, contractors, contractor partners, vendors, and representatives (collectively, the "Released Parties") from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses of any kind arising out of or relating to participation in the Promotion, the acceptance, receipt, possession, use, or misuse of any prize, any work performed at the property, and any publicity arising from the Promotion.

Each entrant agrees to indemnify and hold the Released Parties harmless from any claim arising out of a breach of the representations and warranties made in these Official Rules, including any claim by a third party appearing in submitted materials or holding an interest in the property.

The Released Parties are not responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, or unauthorized access to entries; for entries that are lost, late, misdirected, or not received; or for any injury or damage to any person or property related to or resulting from participation in the Promotion.

To the fullest extent permitted by law, in no event will the Released Parties be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, however caused. Some jurisdictions do not permit certain limitations of liability, and these limitations apply only to the extent permitted by law.

17. Platform Disclaimers

The Promotion is in no way sponsored, endorsed, administered by, or associated with Meta Platforms, Inc., Instagram, TikTok, YouTube, Google LLC, Pinterest, or any other social media or technology platform (each, a "Platform"). Each entrant releases each Platform from all liability arising out of the Promotion and acknowledges that any information submitted in connection with the Promotion is provided to Sponsor and not to any Platform. Any questions, comments, or complaints regarding the Promotion must be directed to Sponsor and not to any Platform. Each entrant agrees to comply with the applicable terms of service of any Platform used in connection with the Promotion.

18. Privacy and Use of Information

Information submitted in connection with the Promotion is collected by Sponsor and will be used to administer the Promotion and, where the entrant has provided the applicable consent, for Sponsor's marketing purposes, including email communications about products, services, promotions, and events. Entrants may withdraw marketing consent at any time using the unsubscribe mechanism in any such communication.

Sponsor may share information with contractor partners, vendors, and service providers to the extent necessary to administer the Promotion and perform the makeover. Sponsor does not sell entrant information.

19. General Conditions; Governing Law; Disputes

These Official Rules constitute the entire agreement between Sponsor and each entrant with respect to the Promotion and supersede any prior or contemporaneous statement, advertisement, or representation. In the event of any inconsistency between these Official Rules and any advertisement or other statement concerning the Promotion, these Official Rules control.

These Official Rules are governed by the laws of the State of Utah, without regard to its conflict of laws principles. Each entrant consents to the exclusive jurisdiction and venue of the state and federal courts located in Tooele County, Utah, or the District of Utah, for the resolution of any dispute arising out of or relating to the Promotion. Each entrant waives any right to participate in any class, collective, or representative action.

If any provision of these Official Rules is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force and effect. Sponsor's failure to enforce any provision does not constitute a waiver of that provision.

Sponsor's decisions on all matters relating to the Promotion, including eligibility, entry validity, judging, finalist selection, the weight given to the public vote, Winner selection, prize scope, and interpretation of these Official Rules, are final and binding.
